Project-specific terms are set out in each engagement's signed agreement, which prevails over this page to the extent of any conflict.
1. Scope and acceptance
These terms govern your use of this website and, where no separate signed agreement applies, our provision of services. By engaging DevGenome you accept these terms. Where a signed engagement agreement exists, it takes precedence over this page to the extent of any conflict.
2. Services
We provide fintech engineering services as described in each statement of work or proposal, including scope, deliverables, and timelines. We may engage qualified subcontractors while remaining responsible for the work.
3. Client responsibilities
- Provide timely access to information, systems, and stakeholders reasonably required to deliver the work.
- Ensure you have the rights and approvals needed for the materials and data you provide to us.
- Meet review and acceptance milestones within the agreed timeframes.
4. Intellectual property and deliverables
Ownership of deliverables, background IP, and third-party components is set out in the relevant engagement agreement. Unless agreed otherwise, pre-existing tools and know-how remain ours, and bespoke deliverables transfer to you on full payment.
5. Fees and payment
Fees, rates, and payment terms are stated in the applicable proposal or statement of work. Unless agreed otherwise, invoices are payable within the period stated on the invoice. Late payment may result in suspension of work.
6. Warranties and disclaimers
We perform services with reasonable skill and care. Except as expressly stated, services and website content are provided "as is" without further warranties, to the extent permitted by law.
7. Liability
Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, our aggregate liability and the exclusions that apply are set out in the relevant engagement agreement.
8. Confidentiality
Each party will protect the other's confidential information and use it only to perform or receive the services, in line with any confidentiality or non-disclosure agreement between the parties.
9. Termination
Either party may terminate an engagement as set out in its agreement, including for material breach. On termination, you will pay for services performed up to the termination date.
10. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, unless your engagement agreement states otherwise.
